Executive Summary

This Module provides a complete blueprint for evolving legal department roles in an AI-first environment. It defines four new AI-enabled roles (Legal Knowledge Engineer, Legal Process Designer, AI Governance Officer, AI Governance Manager for Agentic Systems) and maps how five traditional roles transform as AI becomes embedded in daily work. The Module links role design to the Risk Taxonomy 2026, AI Use Policy (GOV-02), AI Task Force (STR-07), maturity assessments (MAT-01/MAT-02), and the AI Bill of Materials (AI BoM). It includes a progressive skills matrix (Foundation, Operational, Strategic), compensation benchmarking guidance, and a 5-phase implementation roadmap from assessment through sustained excellence. The focus is human-centred: transparent career pathways, structured upskilling, and defensible governance for both conventional and Level 4 agentic tools. Used correctly, TAL-04 reduces Shadow AI, strengthens hallucination and bias controls, and builds an AI-capable legal workforce that can demonstrate ROAI across PROTECT, COMPLY, GROW, and TRANSFORM quadrants.

Purpose

This Module gives legal departments a structured way to design, price, and implement AI-enabled roles. It connects role architecture to governance (GOV-02, GOV-03, GOV-04), maturity (MAT-01/MAT-02), and the AI Bill of Materials (AI BoM), ensuring that workforce transformation is defensible and sequenced to organisational readiness.

Metric 0 gates (STR-07, GOV-02, MAT-02, TAL-02, AI BoM) must be satisfied before any new AI-enabled role is deployed, with additional Agentic Tier provisions required for Level 4 tools.

Metric 0 Pre-Check

Before workforce assessment or new role deployment:

  • M0.1 — STR-07 (AI Task Force): Executive sponsor confirmed; AI Task Force authorised to approve AI-enabled roles.
  • M0.2 — GOV-02 (AI Use Policy): Policy in force; role responsibilities and acceptable use boundaries defined.
  • M0.3 — MAT-02 (Readiness Score): Readiness assessed; role rollout sequenced to maturity band.
  • M0.4 — TAL-02 (Change Management Playbook): Change programme and champion network active.
  • M0.5 — AI BoM: AI BoM entry exists for every tool each role will operate or govern.

Agentic Tier roles additionally require the five Agentic Tier governance provisions (kill-switch, intervention logging, scope limitation, escalation protocol, continuous bias monitoring).

New AI-Enabled Roles

Legal Knowledge Engineer

Strategic value: Bridge between legal expertise and AI systems, responsible for knowledge architecture, training data quality, and prompt engineering. Primary mitigations: Class 1 (Hallucination), Class 3 (Bias and Fairness).

Key responsibilities:

  • Curate and maintain training datasets aligned with GOV-04.
  • Design and optimise prompts for legal tasks.
  • Architect and maintain legal knowledge bases and taxonomies.
  • Test and monitor AI performance; log incidents in GOV-03.
  • Maintain AI BoM entries for tools in scope.

Evolution pathways: Senior Paralegals, Legal Librarians, Knowledge Managers.

Career levels: Associate, Senior, Principal, Director, with compensation benchmarked at a premium to comparable knowledge roles.

Legal Process Designer

Strategic value: Re-engineers legal workflows to integrate AI while preserving operational resilience and compliance. Primary mitigations: Class 9 (Operational Resilience), Class 6 (Shadow AI).

Key responsibilities:

  • Map and redesign workflows with AI integration points.
  • Define human oversight gates and manual fallback processes.
  • Design ROAI measurement at process level.
  • Collaborate with TAL-02 to replace shadow AI with sanctioned workflows.

Evolution pathways: Legal Operations Managers, Project Managers, Business Analysts.

AI Governance Officer

Strategic value: Guardian of ethical, compliant AI use across the legal function. Primary mitigations: Class 6 (Shadow AI), Class 7 (Regulatory Compliance Drift), with cross-class oversight.

Key responsibilities:

  • Own and update GOV-02 AI Use Policy.
  • Run AI risk assessments and maintain GOV-03 Risk Register.
  • Oversee regulatory compliance (ABA, EU AI Act, GDPR, sector rules).
  • Manage VEN-04 vendor compliance and AI BoM verification.
  • Monitor and respond to Class 6 incidents; coordinate GOV-04 bias testing.

Evolution pathways: Compliance Officers, Risk Managers, Legal Ops Directors.

AI Governance Manager — Agentic Systems Oversight

Strategic value: Mandatory role for Level 4 (agentic/autonomous) AI deployment. Primary mitigations: Class 6 (Agentic misuse), Class 1 (autonomous hallucination), with Class 2, 3, 9 oversight.

Key responsibilities:

  • Implement and audit the five Agentic Tier provisions.
  • Serve as escalation point for Level 4 incidents; maintain GOV-03 agentic log.
  • Coordinate with STR-07 for Level 4 approvals.
  • Manage DPS Defensibility evidence (intervention logs, scope attestations).

Traditional Role Evolution

Associates and Junior Lawyers

  • PROTECT: Verify all AI-generated research and drafting (Class 1).
  • COMPLY: Use AI in due diligence under ABA 1.1/5.3 supervision.
  • GROW: Increase throughput and quality via AI-augmented work.
  • TRANSFORM: Build AI literacy to progress faster and pivot into specialist roles.

Upskilling spans 12+ months from basic literacy to advanced AI-assisted practice, with potential progression into Knowledge Engineer or Process Designer tracks.

Senior Associates and Partners

  • Accountable for AI output quality on matters (Class 1, ABA 5.3).
  • Provide strategic input to STR-07 and approve AI use in their practice.
  • Sponsor TAL-02 change initiatives and ROAI business cases.

Paralegals and Legal Support

  • Administer AI tools and manage AI-enabled document workflows.
  • Protect privilege (Class 2) and privacy (Class 4) in AI processing.
  • Report shadow AI (Class 6) and transition into AI admin or Knowledge Engineer roles.

Legal Operations Professionals

  • Own AI BoM, MAT-02 coordination, ROAI measurement, and TAL-02 execution.
  • Lead VEN-04 vendor compliance and DPS Adoption evidence management.
  • Natural pipeline into AI Governance Officer.

Legal Librarians and Knowledge Managers

  • Custodians of AI training data quality and knowledge architecture.
  • Classify content for privilege and privacy; mitigate Class 1 via curation.

Defensibility Evidence
